Terms of Service

Effective Date: August 28, 2025

These Terms of Service (“Terms”) govern your access to and use of the seeQL ERD Diagram Editor available at seeql.app (the “Service”), operated by qrawall GmbH (“we,” “our,” “us”). By using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Accounts and Login

  • To access the Service, you must register using either:
    • a one-time login code sent to your email address, or
    • GitHub OAuth authentication.
  • No passwords are stored by the Service.
  • You are responsible for keeping access to your email and/or GitHub account secure, as they serve as your login method.
  • You are responsible for all activities conducted through your account.
  • You must notify us immediately of any unauthorized use of your account.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Reverse engineer, copy, or exploit the Service beyond intended use.
  • Upload malicious code, spam, or harmful content.
  • Use the Service in a way that infringes the rights of others.

4. AI-Generated Content

  • The Service uses the OpenAI API to provide AI-based features.
  • AI-generated responses may be inaccurate, incomplete, or inappropriate. You are responsible for verifying any outputs before relying on them.
  • We do not guarantee the accuracy, reliability, or fitness for purpose of AI-generated content.

5. Subscriptions and Payments

  • Payments are processed via Polar (polar.sh). By subscribing, you authorize Polar to charge your selected payment method.
  • Fees are billed in advance and are non-refundable, except as required by law.
  • We may change pricing upon reasonable notice.

6. Intellectual Property

  • All rights, title, and interest in the Service, including software, branding, and content (excluding your diagrams and data), belong to qrawall GmbH or its licensors.
  • You retain ownership of diagrams and content you create with the Service.

7. Termination

  • We may suspend or terminate your access if you violate these Terms or applicable laws.
  • You may delete your account at any time.
  • Upon termination, your right to use the Service will immediately end, but provisions regarding intellectual property, disclaimers, and liability will survive.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, qrawall GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising out of or related to your use of the Service.

10. Indemnification

You agree to indemnify and hold harmless qrawall GmbH, its officers, employees, and partners from any claims, liabilities, damages, losses, or expenses arising out of your use of the Service or violation of these Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Germany. Any disputes shall be subject to the exclusive jurisdiction of the courts in Germany, without regard to conflict of law principles.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., by email or on the website). Continued use of the Service after changes constitutes acceptance of the new Terms.
